Welcome to Squircle. These Terms of Service ("Terms") govern your use of the Squircle mobile app and related services (collectively, the "Service") provided by Squircle Limited ("Squircle", "we", "us"), a private company limited by shares registered in Ireland (CRO 819052).

By creating an account, claiming an offer, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use Squircle. If you are under 18, you confirm you have permission from a parent or legal guardian. By using the Service, you represent that you meet these requirements.

2. Your account

• You can browse the Squircle discovery feed without an account.
• To claim offers or save tickets, you must create an account using a valid email address and password.
• You are responsible for keeping your password confidential and for all activity that occurs under your account.
• You agree to provide accurate information and keep it up to date.
• You may not share your account with others, or create an account on behalf of someone else without their permission.

3. What Squircle does

Squircle is a discovery platform that lets you find offers and deals published by partner venues in Ireland — such as cafés, restaurants, bars, and shops. When you "claim" an offer in the app, we generate a unique QR code that you present at the venue to redeem the deal.

Important: Squircle is an intermediary. The actual offer is provided by the partner venue, not by Squircle. The contract for the offer (e.g., "20% off your coffee") is between you and the venue.

4. Offers and redemptions

• Offer terms (validity dates, restrictions, location) are set by the partner venue and shown in the app's offer detail.
• Squircle does not guarantee that any specific offer will be honored at the venue. If a venue refuses to honor a claimed offer, please contact us and the venue directly — we will assist where reasonable.
• Each offer may be claimed only once per user unless otherwise stated.
• Offers have no cash value and cannot be transferred or resold.
• Squircle reserves the right to remove offers, suspend claims, or modify offer terms at any time, including for fraud prevention.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to the Service, other accounts, or our backend systems.
• Use bots, scrapers, or any automated means to access the Service (except as expressly permitted, e.g., search engine indexing of public pages).
• Reverse engineer, decompile, or attempt to extract source code from the app, except where permitted by law.
• Forge, manipulate, or duplicate QR codes for unauthorized redemption.
• Resell, redistribute, or commercially exploit any part of the Service.
• Interfere with the proper functioning of the Service, e.g., by submitting fraudulent claims or overloading our servers.
• Use the Service in a way that infringes anyone else's rights.

We may suspend or terminate your account if we reasonably believe you have violated these rules.

6. User content

If you upload content to the Service (e.g., a profile picture), you retain ownership of it but grant Squircle a worldwide, non-exclusive, royalty-free license to host, display, and process that content as needed to operate the Service.

You are responsible for ensuring you have the rights to any content you upload. Do not upload anything that infringes copyright, trademarks, or other rights, or that is unlawful, obscene, defamatory, or harassing.

7. Intellectual property

The Squircle app, website, brand name, logo, and all underlying software, designs, and content (other than user content and partner venue content) are owned by Squircle Limited or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You receive a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes. All other rights are reserved.

8. Privacy

Our Privacy Policy explains how we collect and use your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

9. Third-party services and links

The Service may link to or integrate with third-party services (Firebase, Brevo, Render, Cloudflare, partner venue websites, mapping services). We are not responsible for the content, accuracy, or practices of those third parties. Their terms and privacy policies apply when you interact with them.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Squircle disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any offer information is accurate, current, or complete. Offer details are provided by partner venues and may change without notice.

11. Limitation of liability

To the maximum extent permitted by Irish and EU law:

• Squircle is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the Service.
• Our total liability to you for any claim arising out of or relating to the Service or these Terms is limited to one hundred euro (€100).
• Nothing in these Terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

12. Indemnification

You agree to indemnify and hold Squircle Limited and its officers, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your breach of these Terms; or (c) your infringement of any third-party rights.

13. Termination

You may stop using the Service at any time. You may delete your account in-app at Profile → Delete my account.

We may suspend or terminate your account or access to the Service at our discretion, with or without notice, if you violate these Terms, if we believe your use poses a security risk or harms other users or our partners, or if we discontinue the Service.

Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you in-app or by email. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of Ireland, excluding conflict of law principles. Any dispute arising out of or relating to these Terms or the Service is subject to the exclusive jurisdiction of the courts of Ireland.

If you are a consumer in the EU, this does not deprive you of the protection of mandatory consumer rights in your country of residence. You may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. Apple App Store additional terms

If you download Squircle from the Apple App Store, you acknowledge:

• These Terms are between you and Squircle Limited, not Apple. Apple has no obligation to provide maintenance or support for the app.
• Apple is a third-party beneficiary of these Terms and may enforce them against you.
• The app must be used in accordance with the Apple Media Services Terms and Conditions.
